POWER OF ATTORNEY

Know all men by these presents that we ,........................................ , having our registered office at............ do hereby elect and appoint Mr YASAR UMIT KARACA , Mr MEHMET ALI BILDIREN and Mrs FIGEN CETINER , attorneys at law , members of the Istanbul Bar, our true and lawful attorneys in Turkey with full right power and ablolute authority to represent us, either jointly or separately , in all the courts, court bailiffs offices, bankruptcy administrations, council, departments and administrations of the Turkish Republic of every level category and competence with regard to all the lawsuits, criminal investigations, attachments and bankruptcies which were or will be field by or aganist us, to follow up and perform the necessary transactions required to obtain and preserve our rights and interests, to file lawsuits, complaints and denunciations and to defend these, to write petitions with their own signature and present them to relevant authorities, to serve and be served on our behalf, to obtain decisions in relation to interlocutory and execution attachments and injunctions, to execute or withdraw these, to apply for clarification and correction of the decisions, to lodge or renounce appeals, to ask for hearing and to represent us before the courts of appeal council of state and other financial administrative and judicial institutions, to apply for re-trial and revision of the judgment, to employ, hear or refuse witnesses, to propose, accept or refuse oaths, to refuse and complain judges and court clerks, to appoint experts, accountants or arbitrator or dismiss them, to ask for surveys and object to reports, to apply for the determination of evidence, to issue and reply to protest and notification, to ask for the enforcement and execution of the award and decisions, to ask for our non-attendance at the trials, to participate in the trials in our absence, to give and take back all kinds of documents and petitions by hand, to make settlements and give discharges, to accept and collect money from debtors, court bailiff's offices or any other administrations, to waive claims, actions and appeals, to accept or object to lawsuits or waivers, to apply for and stop sales, to participate and buy goods in execution sales and pay fees and stamps, to give power of attorney to other with all or part of these powers vested in them by this power of attorney and revoke them, in short, to do whatever they shall deem necessary to defend our rights and interests.
